Referral Services Agreement

Effective Date: 12th May 2026

These Terms & Conditions (“Agreement”) shall be effective from the date of acceptance by the Service Provider through website registration, onboarding, or use of the services provided by Addon Capital Services Private Limited.

1. PARTIES

This Agreement is entered into between:

Addon Capital Services Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at: 220, 2nd Floor, Vishal Tower, District Center, Janakpuri, New Delhi – 110058, hereinafter referred to as “Addon Capital”, which expression shall, unless repugnant to the context or meaning thereof, include its successors and permitted assigns.

AND

Any individual, sole proprietorship, partnership firm, LLP, company, or entity registering, accessing, or using the Addon Capital platform or services as a referral partner, associate, or selling associate, hereinafter referred to as the “Service Provider”.

Addon Capital and the Service Provider shall individually be referred to as a “Party” and collectively as the “Parties.”

2. ACCEPTANCE OF TERMS

By registering on the website, submitting leads, using the platform, or availing any services provided by Addon Capital, the Service Provider acknowledges that they have read, understood, and agreed to be legally bound by these Terms & Conditions.

If the Service Provider does not agree to any part of this Agreement, they must discontinue the use of the website and services immediately.

3. SCOPE OF SERVICES

3.1 Lead Generation

The Service Provider is authorized to generate and submit leads for prospective customers seeking financial products including but not limited to: Personal Loans, Business Loans, Home Loans, Education Loans, Car Loans, Loan Against Property (LAP), and Credit Cards.

3.2 Fulfilment Services

Addon Capital may provide online or offline fulfilment and processing support for customers referred by the Service Provider.

3.3 Verification Responsibility

The Service Provider shall ensure preliminary verification and authenticity of the customer details before submitting any lead to Addon Capital.

3.4 Physical Verification

Where applicable, the Service Provider shall conduct or arrange physical verification of the customer’s residence, office, or business address prior to submission of any application.

3.5 Fraudulent or Bogus Data

If any lead, address, document, or customer information is found to be fake, misleading, fraudulent, or unverifiable, Addon Capital reserves the right to:

Reject the lead or application;
Recover any associated payouts or commissions;
Suspend or terminate the Service Provider account immediately;
Initiate legal action where necessary.

4. TERM AND TERMINATION

4.1 Agreement Term

This Agreement shall remain valid for a period of 3 (Three) years from the date of acceptance unless terminated earlier in accordance with this Agreement.

4.2 Termination by Either Party

Either Party may terminate this Agreement by providing 30 (Thirty) days written notice through email or other official communication channels.

4.3 Immediate Termination

Addon Capital reserves the right to suspend or terminate access immediately without prior notice in cases involving: Fraud, Misrepresentation, Fake or forged documentation, Regulatory violations, Breach of these Terms & Conditions, or Activities causing reputational damage to Addon Capital.

4.4 Final Settlement

Any outstanding eligible payments shall be processed within 45 (Forty-Five) days from the date of termination, subject to receipt of payouts from the respective Bank or NBFC.

5. ETHICS AND BUSINESS PRINCIPLES

The Service Provider agrees:

Not to engage in deceptive, misleading, illegal, or unethical business practices;
Not to make false promises or unauthorized commitments to customers;
To comply with all applicable laws, RBI guidelines, banking regulations, and data protection laws;
To comply with Do Not Disturb (DND/NDNC) regulations and customer privacy standards;
To maintain professionalism while representing Addon Capital.

6. FEES, COMMISSIONS, AND PAYMENTS

6.1 Referral Fees

The Service Provider shall be eligible for referral fees, commissions, or payouts as determined by Addon Capital and/or the respective Bank or NBFC. All payout structures, slabs, and incentives are indicative in nature and may be modified without prior notice based on changes in banking or NBFC policies.

6.2 Payment Timeline

Payments shall generally be processed within 15 (Fifteen) days from the date Addon Capital receives the corresponding payout from the relevant financial institution.

6.3 Clawbacks and Recoveries

Any clawback, reversal, cancellation, foreclosure, refund, or recovery imposed by the Bank/NBFC due to customer cancellation, loan foreclosure, fraudulent applications, misrepresentation, or policy violations shall be recoverable from the Service Provider.

6.4 Tax Deduction

All payments are subject to applicable Tax Deducted at Source (TDS) and other statutory deductions as per Indian law.

7. INTELLECTUAL PROPERTY

All trademarks, logos, branding materials, website content, graphics, and marketing materials belonging to Addon Capital shall remain the exclusive property of Addon Capital. The Service Provider shall not:

Use Addon Capital’s name, logo, or branding without prior written approval;
Misrepresent themselves as employees or official representatives of Addon Capital;
Copy, modify, or distribute proprietary content without authorization.

8. CONFIDENTIALITY

The Service Provider agrees to maintain strict confidentiality regarding customer information, business operations, financial data, internal processes, commission structures, and proprietary information. Such information shall not be disclosed to any third party without prior written consent except where required by law.

9. DATA PRIVACY

The Service Provider shall ensure that all customer data collected and shared with Addon Capital:

Is obtained lawfully and with customer consent;
Is handled securely and confidentially;
Is not sold, transferred, or misused for unauthorized purposes.

Addon Capital reserves the right to audit or investigate any misuse of customer information.

10. INDEMNITY AND LIABILITY

The Service Provider agrees to indemnify and hold harmless Addon Capital, its directors, employees, affiliates, and representatives against any losses, damages, claims, liabilities, penalties, or legal expenses arising out of breach of this Agreement, fraudulent activities, negligence or misconduct, violation of applicable laws, or actions or omissions by the Service Provider or its employees/agents.

In cases involving fraud or gross negligence, Addon Capital reserves the right to recover the full amount of losses suffered.

11. LIMITATION OF LIABILITY

Addon Capital shall not be liable for:

Any indirect or consequential losses;
Business interruption;
Loss of profits or opportunities;
Delays caused by Banks, NBFCs, regulatory authorities, or third-party service providers.

Addon Capital does not guarantee approval of any loan, credit card, or financial product.

12. ARBITRATION AND JURISDICTION

Any dispute arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Delhi, India.
Proceedings shall be conducted in English.
Courts located in Delhi shall have exclusive jurisdiction over all disputes.

13. FORCE MAJEURE

Neither Party shall be held liable for any delay or failure in performance caused due to events beyond reasonable control, including but not limited to: natural disasters, floods, earthquakes, pandemics, government restrictions, internet or system failures, war, riots, or civil disturbances.

If such an event continues for more than 60 (Sixty) days, either Party may terminate this Agreement.

14. MODIFICATIONS TO TERMS

Addon Capital reserves the right to update, modify, or revise these Terms & Conditions at any time without prior notice. Continued use of the website or services after such modifications shall constitute acceptance of the revised terms.

By accessing, registering on, or using this website and related services, the Service Provider confirms that they have read, understood, and agreed to these Terms & Conditions in full.
